What is a Supply Agreement ?
A Supply Agreement also called a contract supply is a contract between a Supplier and a Purchaser. The Supplier, who can be either an individual or a firm, is the one who “supply,” or sells, the items to the Purchaser. The Purchaser, who can be either an individual or a business, is the party who purchases the items provided by the Supplier for its own purpose.
The Supplier and Purchaser describe their expectations for the sale and purchase of the items, as well as the general behaviour and boundaries of their relationship, in these agreements.
Why use a Supply Agreement ?
The most important details of the parties’ relationship will be entered in a Supply Agreement: things like a description of the goods being sold, how and when the Purchaser is expected to pay, whether the contract is exclusive or not, and what warranties and performance guarantees are provided, penalties for delays, and so on. A solid Supply Agreement will also cover both parties in the event of a problem: items like dispute resolution and governing law should be mentioned.
