An OEM agreement, also known as an original equipment manufacturing agreement, is a contract between two companies, one of which supplies products to the other. The entity that receives the products is known as the “OEM,” and they typically produce or market their own brand.
OEM agreements are classified as contract manufacturing. Automobile manufacturers such as Ford, Honda, and Chrysler, as well as smartphone manufacturers such as Apple and Blackberry, are examples of OEMs.
Why use a OEM Agreement ?
An OEM agreement can have a variety of terms, but it usually includes provisions for exclusivity, royalties on product sales by either party, and co-branding rights. The majority of agreements are written in such a way that an OEM will manufacture goods in exchange for access to intellectual property owned by the company receiving goods. In some cases, there may be a provision requiring both parties to meet minimum production levels before any royalty payments become due.
